Delecta Limited (‘DLC’): Your Report of MisconductASX refers to: your online report of 25 April 2022 raising concerns about the sale/disposal of Calvista’s asset to Mr Day (‘the Disposal’) and the suspension of DLC’s securities; and ASX’s email dated 26 April 2022 acknowledging receipt of your online report.ASX would like to thank you for making the time and effort to bring these matters to its attention. These types of communications are an important source of intelligence for ASX in performing its role of monitoring and enforcing compliance with the ASX Listing Rules.We note as set out in DLC’s announcement of 8 April 2022, the Disposal is subject to ASX Listing Rule 10.1, which requires a report on the transaction from an independent expert. The report is required to state the expert’s opinion as to whether the transaction is fair and reasonable to the company’s shareholders.ASX Listing Rule 17.2 permits a company to suspend its securities from quotation. It is an ASX requirement that a company request a suspension while the company recompiles with Chapters 1 and 2 of the Listing Rules. In the present case, DLC requested a suspension under Listing 17.2 and DLC will remain in suspension while it re-complies with Chapters 1 and 2 of the Listing Rules.
