They are certainly not a last resort of financing, you are thinking of Lajolla or similar - these are totally different
I can send you a list of companies I have personally been involved in that have been associated with Bergen (I don't want to get done for cross promotion)
Secondly, if you are going to give a break down of the deal, at least give the correct facts and figures
The notes do not mature for 24 months - so your figures are incorrect for a state
You also left out this line:-
The agreement includes terms that grant Sovereign Gold the right to repurchase the Convertible securities with cash within a certain period of time and limitations on Bergen's disposal of the shares received on conversion
