we've moved on a bit in discussion but a friend of mine has pointed out that:
There are TWO lots of performance shares that are due to vest prior to the 3/12/2015 (before options expire).
If you are management do you want the share price to be just enough to have the oc's vest or the performance shares vest?
SCHEDULE 3 - TERMS AND CONDITIONS OF PERFORMANCE RIGHTS
Class D Performance Rights
The Class D Performance Rights entitle the holder to Shares on the following terms and conditions:
(a) Subject to the satisfaction of the vesting condition set out in paragraph (b) below, each Class D Performance Right vests to one Share.
(b) The Class D Performance Rights shall vest and convert to Shares as follows:
(i) the price of the Company’s shares as traded on ASX is at least 8 cents or more for thirty (30) consecutive trading days; and…….
The Class D Performance Rights shall expire at 5.00 pm (WST) on 13 October 2014(Expiry Date). Any Class D Performance Right not vested before the Expiry Date shall automatically lapse on the Expiry Date and the holder shall have no entitlement to Shares pursuant to those Class D Performance Rights.
Class E Performance Rights
The Class E Performance Rights entitle the holder to Shares on the following terms and conditions:
(a) Subject to the satisfaction of the vesting condition set out in paragraph (b) below, each Class E Performance Right vests to one Share.
(b) The Class E Performance Rights shall vest and convert to Shares as follows:
(i) the price of the Company’s shares as traded on ASX is at least 12 cents or more for thirty (30) consecutive trading days; and……..
The Class E Performance Rights shall expire at 5.00 pm (WST) on 13 October 2015 (Expiry Date). Any Class E Performance Right not vested before the Expiry Date shall automatically lapse on the Expiry Date and the holder shall have no
entitlement to Shares pursuant to those Class E Performance Rights.
