Theoretically, sophisticated investors are more financially astute than the average retail investor. This means they don't need the same protections as retail investors and, in particular, don't need to be issued with a prospectus for CRs. This makes raising capital through soph placements quicker, easier and cheaper than raising capital from retail investors. Or at least that is my understanding.
