In the U.S., an accredited investor is someone who is financially sophisticated and has a reduced need for the protection provided by regulatory disclosure filings.

In the US to take part in a company "Private Placement" you have to be an "Accredited Investor" or be utilized as an Expert where the company writes the SEC to summarize that in-depth supportive relationship. I have gone through this a few times myself.
