Notice is given that a General Meeting of members of CDST will be held at Minter Ellison, South Tower,
Rialto, Level 23, 525 Collins Street, Melbourne, Victoria at 10 am Melbourne time on Friday, 9 March
2007.
1. Business
The purpose of the meeting is to consider and, if thought fit, pass the following resolutions:
1.1 Resolution 1 – Reduction of Capital
The following resolution which will be proposed as a special resolution.
Subject to and conditional upon the passing of Resolution 2, that Shareholders approve the following
reduction of the Share Capital:
The Company reduce its share capital by an amount equal to the product of $1.0796 and the number of
issued Ordinary Shares as at 5.00 p.m. on the Record Date without:
(a) cancelling any Shares;
(b) creating or increasing any unpaid amount on Shares, or
(c) taking into account the effect of Resolution 2,
with the reduction of capital satisfied by the Company paying (in the same manner as provided in the
Constitution for the payment of dividends and on a date determined by the Directors) to each Shareholder
the sum of $1.0796 for each Share held by that Shareholder (before Resolution 2 takes effect) as at
5.00pm on the Record Date.

1.2 Resolution 2 – Consolidation of Capital
Subject to and conditional upon the passing of Resolution 1, that the Company convert every ten (10) of
its Shares into one (1) Share with effect on and from 6.00pm on the Record Date, and that any fractional
entitlements to shares resulting from this conversion be rounded up to one whole Share.

1.3 Resolution 3 – Payment to Barry Febey
That for the purposes of Part 2D.2 of the Corporations Act and Listing Rule 10.19, Shareholders approve
the Company paying $1,000,000 to Barry Febey, a director of the Company and a former director and
employee of CDS Technologies, Inc, a former subsidiary of the Company.
