I am no lawyer but, I mean I think if the majority of shareholders of Sundance do note vote in favour of the merger then it would not go ahead by the "Sunset Date" ie 31 March 2008. Therefore, Sundance would have not fulfilled it's conditions of the MIA and need to pay GBG the breakfree amount of $15mill.
