So if someone sold down their shares on the market (to less than 5000) between the SPP offer being made and prior to the close of SPP they were excluded from the SPP?

That is exactly what the SI's did for this raising (but worse..... shorting the stock then buying it back through the institutional placement) so if management deny a retail investor the opportunity to participate based on that premise they have created a blatant double standard for themselves.

I thought the ability to participate in the SPP was based on your holding at the time of the SPP going out, not at the time of the SPP closing.

Well a few people could get unfairly excluded if they apply that ruling....
