As for the SPP, if the stock is trading higher than current levels just prior to close then it's a no brainer. My personal opinion is that it will be and it will be scaled back accordingly.

And finally, I agree with LL regarding HAW being undervalued. Even after the re-structure if HAW's market cap is say $50 million it's still way undervalued for the resource. 1.5 billion tonnes is a large resource and one which will command a market cap of at least 500 million in time. Just look at SDL for an example...
