Openpay Group Limited has announced a Share Purchase Plan (SPP) whereby eligible shareholders have the opportunity to purchase up to a maximum of AUD 30,000 worth of shares. Please ensure the correct amount of funds are in your share trading account at the time of instructing, or the request may fail. THE ISSUE PRICE WILL BE AUD 2.03 ELIGIBLE HOLDERS MAY APPLY FOR ONE OF THE FOLLOWING OPTIONS. (A) AUD 1,000. (B) AUD 2,000. (C) AUD 5,000. (D) AUD 15,000. (E) AUD 20,000. (F) AUD 25,000. OR (G) AUD 30,000 THE OFFER UNDER THE SPP NEEDS TO COMPLY WITH THE LIMIT IN THE ASIC CORPORATIONS INSTRUMENT. UNDER THE CORPORATIONS INSTRUMENT, ELIGIBLE SHAREHOLDERS MAY ONLY ACQUIRE A MAXIMUM OF AUD30,000 WORTH OF SHARES UNDER A SPP IN ANY 12 MONTH PERIOD. SHAREHOLDERS WHO WILL BE ELIGIBLE TO APPLY FOR SHARES UNDER THE OFFER ARE THOSE THAT ARE, (A). RECORDED ON THE COMPANY’S REGISTER AS AT THE RECORD DATE, AND (B) HAVE AN ADDRESS IN AUSTRALIA AND NEW ZEALAND. THE SHARES TO BE ISSUED UNDER THIS OFFER MAY NOT BE OFFERED TO SHAREHOLDERS LOCATED IN THE UNITED STATES OR TO SHAREHOLDERS WHO ARE, OR WHO ARE ACTING FOR THE ACCOUNT OR BENEFIT OF U.S.PERSONS AS DEFINED IN REGULATIONS UNDER THE SECURITIES ACT. THE CASH APPLICATION AMOUNTS ADVISED ABOVE WILL BE PAID IN WHOLE TO THE COMPANY PER THE TERMS OF THE OFFER FOR EACH APPLICATION. WE EXPECT TO CREDIT THE SHARES ON 14.05.2021 (SUBJECT TO CHANGE AND DELAY AS WE WAIT FOR OUR CUSTODIAN TO DETERMINE HOW THE SHARES SHOULD BE ALLOCATED TO BENEFICIAL OWNERS). UNSUCCESSFUL APPLICATIONS WILL BE REFUNDED BACK AS SOON AS PRACTICAL WITHOUT INTEREST, AND PROCEEDS MAY BE SUBJECT TO ROUNDING AT THE COMPANIES DISCRETION. THE COMPANY MAY SCALE BACK APPLICATIONS ON A PRO RATA BASIS OR MAY CHOSE TO PROCESS SHAREHOLDER APPLICATIONS ON A FIRST COME FIRST SERVED BASIS. BY SUBMITTING AN INSTRUCTION TO ACCEPT THE OFFER YOU CONFIRM YOU HAVE READ AND AGREE TO THE TERMS AND CONDITIONS OF THE SPP SET OUT IN THIS ANNOUNCEMENT.
To take part in the SPP,please instruct by replying to this email from your registered email address before the IG deadline of 12pm AEST on the 03.05.2021advising the value you wish to subscribe for as an AUD amount. Please ensure the correct amount of funds are in your share trading account at the time of instructing, or the request may fail. These funds will be reserved until the SPP has been fully processed. Please note there are no brokerage fees charged for taking part in this SPP. An instruction to us is not a guarantee that you will be allocated any or all the shares that you have subscribed for. There are instances where no allocation will be made to you, for example the SPP may close early and/or be fully subscribed. IG holds no responsibility for share allocation outcomes or any failure for you to be issued the shares requested. By participating in the SPP you acknowledge and agree that you will not hold IG liable for any of the above.
