I have a small selection of questions to start with:
In the announcement the directors have said that they believe the proposal is "in the best interests of Resapp shareholders". Does the company plan to explain how a valuation of $100 million is the best outcome that shareholders could expect? What asset value has been placed on ResappDx? What value on the new Covid-19 diagnostic? What time-frame was considered when balancing the proposal against continuing operations? What revenue, cost and capital cash flows were used in projecting future operations?
Both Tony Keating and Brian Leedman have been reported as saying that they would not be prepared to consider takeover offers at below $1.00. Tony Keating is also on the record stating that he intends to pursue commercialisation before considering takeover offers. Could the company please explain what has happened recently to cause the company to lose 90% of it's potential value, and for commercial operation to no longer be a realistic goal?
Are the directors and senior managers to awarded benefits, payments, emoluments or other incentives that are not available to the shareholders if the proposed acquisition is completed? Examples include; opportunities to convert options into shares prior to the completion date, employment/contracts/consultancies at Pfizer or affiliated organisations, shares or other financial interests in Pfizer, etc.
Tony Keating stated in the announcement that the proposal "recognises the years of dedicated work by the ResApp team". Has the Resapp team not already been handsomely recognised for their work in the form of salaries and benefits amounting to millions of dollars funded by the shareholders who have not received a single cent in return and are now being offered a mere pittance against that investment?

That'll do for a start. I'm having trouble separating the narrative from the questions for the present.

Excellent summation and questions for the board and all shareholders!

I’ve been a passive reader all day due to work and I like to absorb all the information before posting.

I’m very disappointed in RAP management (BL & TK) for even considering this lo-ball offer, let alone endorsing it to shareholders! The BL narrative of “take it, endorse it, or do not mention it” is mind boggling!

If we have so many options and potential partners to assist and partner with why are we looking to sell out completely!!! Pharma and Tech companies we are supposedly in discussions with and a lousy 11.5 cent per share is worth tabling to shareholders?

IMO by the board endorsing this ridiculous offer we have just set a a low precedent and shareholders will never get full and fair value.

Our BOD have played their cards early…fingers crossed for a raise otherwise their gone IMO.

GLTAH and stick strong and refute any BS offers.
