    I've done a bit of sniffing around and by your post that means Hochma Development Fund Limited who used to hold 32,958,227 shares from at least August 31 2003 and still held them at September 30 2004 must have sold them then between Sept and Feb 05????? They had 17.46% of the company as at Sept 30 2004. The Top 20 held 49.37% as at 30/9/04.

    Hochma Development Fund Limited stated in the 2003 HY Report that it increased debt funding to TOX from $1mill to 1.5mill through a Funded Risk Participation Agreement with Horizon Equity Consulting Pty Ltd (interests associated with Michael Humphries, TOX Chairman)

    Hochma Development Fund Limited is a Registered Pooled Development Fund of which Richard Blumburg is the CEO. HDFL focus is on all industries within the range of $2-5mill excluding mining, property and retail. Richard was also a non exec director of TOX from Aug 2001 to 15 Aug 03.

    HDFL still have 9,245,562 options ex 5.4c expire 16/3/06, do the still have the 32mill shares...your post seems to say they don't????

    Also leaving at the same time as Richard Blumburg on 15/8/03 was Ray King who was a director of TOX and a Director of Hochma Development Fund Limited. Ray held I believe at least 6,578,757 shares (3.73%) at 31/8/03 but they had all been sold or he didn't have enough to register on 30/9/04 Top 20. These shares where held in 3 amounts...Mr Raymond Charles King & Mrs Dawn King 2,430,930 (1.38%) and also Mr Ray King & Mrs Dawn King 1,973,914 (1.12%) and I believe via Kingstrust Pty Ltd 2,173,913 (1.23%). Kingstrust Pty Ltd though may be more a family thing as they are also a Top 20 shareholder in PCH Group Ltd ASX Code PCG 1.5mill shares 28/9/04 "Kingstrust Pty Ltd JEREMY & LYNETTE KING A/C"

    The good news is if Hochma Development Fund Limited, King and Blumburg are now all out then selling pressure should ease soon. (King and Blumburg were already out by 30/9/04 but HDFL still had 32mill shares as at last Top 20 30/9/04)

    BCD Technologies Pty Ltd who got 3,954,758 (2.24%) shares 28/3/03 for nil consideration (deemed 5.2c) for the granting of TOX priority client status by BCD Technologies Pty Ltd had also gone as at 30/9/04.

    No. 2 shareholder as at 31/8/03 Jilette Company Limited has reduced their holding from 9,874,804 to 7,374,804 (i.e 2.5mill shares) as at 30/9/04. Jilette Company Limited is also a Top 20 E-Com Multi Ltd shareholder 1.03% or 12.8mill shares 14th biggest holder. There is a tie up between TOX and E-Com somewhere at director level in the past but I can't put my finger on it now..

    Michael Humphries declared he has interests of 6,646,341 as at the 27/10/03 Annual report but only 3,806,948 are showing on the 31/8/03 and 30/9/04 Top 20 reports. Where are the the other 2,839,483?

    Catterline Investments Limited has held its holding, it was also a Top 20 shareholder in Bigshop.com.au (ASX : BIG and now Altera Capital ASX : AEA) back when Michael Brereton was the Non Exec Chairman of BIG back in 2000 before he was pushed out by the Fast Scout takeover of BIG in 2001…the seemed to have followed him to TOX.

    Of the 20 top shareholders as at 31/8/03, 13 have either held or increased their holdings, poor old Richard Gelski who I believe is a Partner in Johnson Winter & Slattery and Australian Olympic Committee's lawyer dropped out of 20th place either by not enough to get in Top 20 or sold.

    Of the 7 that reduced or gone between 31/8/03 and 30/9/04...
    3 x are related to ex director King and are gone..

    2 x holdings merged (Delta Australia Pacific 4,412,988 (2.5%) and Rimat Pty Ltd 3,761,830 (2.13%) to all hold under Delta Australia Pacific 8,174,818 (4.33%).

    1 x Jilette Company Limited reduced by 2.5mill but still No. 3 holder...

    1 x BCD Technologies Pty Ltd who had 3,954,758 sold...

    1 x Richard Gelski too small now for Top 20 or sold?

    Replacing those 7 are a bunch of new holders which include...

    Tasmove Pty Ltd with 2.556mill shares...they also held/hold shares and options in the Top 20's of Sydney Gas and St Francis Group Ltd

    Tiko Aharonov with 2.5mill shares which I have a sneaky suspicion are the Jilette Company Limited reduction..??

    Leif Schipper Julemon has punted with 2.36mill but don't know much about him

    Investor Trevor Neil Hay with 2.3mill...Trevor often pops up in Top 20 reports including Fastscout, Infochoice, Central Exchange Limited, Wedgetail Exploration, Australian Healthcare Technology Ltd, Network Foods Limited, Estar, East Coast Minerals NL, Pancontinental Oil and Gas NL, QED.

    Theo Tsoukatos with 2mill...Theo is also a Top 20 holder of MONTERAY GROUP LIMITED ASX Code MRY 23/9/04. Theo Tsoukatos I believe is an analyst with Australian Securities and Investments Commission (ASIC)....and also a Australia Day Medallion Recipient for 2004..good on ya Theo..

    Equity Developments Pty Ltd also make the 30/9/04 Top 20 at 20th spot with 1.5mill shares, been around since 1969 so they must have something going for them :) ...and I think they pushed Richard Gelski to 21st with 1,415,686 shares..Richard will have to spend $3k to get his name back in the lights...

    Since the 30/9/04 Top 20 the following events have occurred..

    On 16 July 2004 the Company announced a non-renounceable pro-rata offer of shares on the basis that for every one share held by shareholders, one new share plus one free attaching option for every two shares applied for would be offered.

    The shares were issued at 1 cent each, and the options were exercisable at 3 cents each on or before 31 January 2006.

    There were 20,178,536 shares (and 10,089,284 options) applied for by shareholders to raise
    $201,785.

    On 3 December 2004 the Company placed 168,412,044 shares (84,206,022 options), being the shortfall from the above offer. This raised $1,684,120.

    The Company placed a further 25,000,000 shares (and 12,500,000 free attaching options) at 1 cent to raise a further $250,000.

    Presently there are 402,181,160 shares on issue.

    I am a holder of TOX and now I understand their shareholders more I feel much more comfortable. And where did I find these Top 20’s when you can’t seem to find them in ASX Releases???? Well I had a sniff around their website and under the Investors section they have the HY and FY reports there…and at the end were the Top 20’s in the FY reports….for some reason these are not in the ASX released reports….
