    Paul Harris, usually the partner has the right (option), to first and last offer.
    Why would CTP have anything to do with Macquarie's negotiations with Santos.
    Once CTP said no to the first offer, they would have no further involvement until the last offer.
    Then they would be allowed to match it and take control of Santos's partnership.

    Obviously CTP said no for what ever reason.
    But who knows how the contract was written.
