i had the same thought jf
HOWEVER they might have announced the spp to influence small stakeholders to sell out to rebuy in later for an apparent arbitrage opportunity if KF works out... this could decrease the wall of sellers come announcement day as these holders will be have little or no shares left to sell
thus less resistance for SP on successful KF for 'insiders' to sell out before SPP shares come through?
besides that and protection against a general market correction/failed KF, i fail to see managements motives for current spp
