Would be less complications if granted to CAZ. Current holders can then sell if they choose > $4. Then gives opportunity for CAZ to split company and then others (BHP) to offer take over if they choose. Then if RIO decides to progress further through court (if they can and if they choose to) they can go right ahead and deal with whom holds Shovelanna at the time (CAZ / BHP / FMG / ???). I would reckon that CAZ would take/negotiate any genuine offer given. just IMO.
