one suggestion... check the pds.
I'm not trying to sound like a smart alek... see what you can find and if you can convince yourself that you're in the right talk to a commercial lawyer... If you can convince him as well then a letter might be enough for them to see it your way... especially if they think they'll end up paying your costs as well.
