This is the playbook that is being ran against the individual investorrs. You have an election on 5/3/2025 and then the vote is on 5/6/2025. Before you say that does not matter, then move it out to 6/6/2025. I am going to be speaking with Fidelity Compliance team in the States tomorrow. The gamesmanship is over.

How Firms Box Out Retail Investors

TacticHow It WorksImpact on Retail Shareholders
    11. Dilutive Capital RaisesRepeatedly issuing new shares at low prices to institutions or insidersShrinks the ownership % of existing shareholders who can’t afford to participate
    22. Strategic PlacementsNew shares are issued to “friendly” investors who support management’s agendaShifts voting power away from retail; management-aligned block gains control
    33. No Preemptive RightsRetail shareholders often don’t get rights to buy new shares before othersRetail has no way to maintain ownership % — gets diluted repeatedly
    44. Bundled ResolutionsMultiple major changes are grouped into a single voteShareholders are forced to accept unwanted terms to approve something they need
    55. Withholding InformationInsufficient or delayed disclosure around placements, terms, or risksPrevents shareholders from making informed decisions or rallying opposition
    66. Board StackingNew board members or execs appointed without shareholder inputControl remains in hands of insiders or key institutional partners
    77. AGMs/EGMs with Little NoticeImportant meetings held quickly or at inconvenient timesLimits attendance and participation from retail investors, especially overseas
    88. Related-Party DealsSelling assets or IP to entities connected to insidersValue may be shifted out of the public company with little benefit to retail shareholders
    99. Rights Issues with Complex TermsDesigned to confuse or discourage retail participationInstitutions are better equipped to take advantage, retail gets left out
1010. Buybacks that Exclude RetailCompany buys back shares from institutions at a premiumRetail is stuck with lower value or shrinking influence
