1.4 Resolution 3: Re-election of Peter James Dykes

Shareholders are asked to consider, and if thought fit, to pass the following Resolution as an ordinary resolution:

"That Peter James Dykes, having retired from his office as a Director in accordance with article 5.1 of the Constitution and, being eligible and having offered himself for re-election, be re-elected as a Director”.

This is the once-a-year opportunity for holders to a say.

Consider the fact that Mr Dykes ‘by the skin of his teeth’ was spared a criminal conviction for his criminal behaviour earlier this year (*).

Shareholders should really ask themselves if Mr Dykes is a ‘Fit and Proper Person’ to hold a position as Director of their company - Nexbis.

While they (the board) may have the numbers to push Mr Dykes over the line, a large Postal protest vote by many individual NBS shareholders may just have enough impact for the board to see clearly, avoid embarrassment and for Mr Dykes to withdraw (make himself unavailable for family and health reasons) from the position of company Director.

This has been done before elsewhere and it can be done again
– United shareholders make a stronger company.

Whatever you do – make sure you vote the way you see fit.
In general, the voting attendance by mail by Australian shareholders is very poor.

The ballot papers are on its way.
We need some fresh blood on the board.
No matter how many shares you hold do not pass up this opportunity to express your views at the ballot box.
