In a Scheme they will need 75% of shares voted to be YES to pass, in contrast to an off market takeover that requires 90% of all shares voting YES for full control.
Notably, the only way to get a higher price is if a competing bid emerges. Otherwise it goes to a vote, failing which we risk a large fall in share price.
