Something does smell funny about all of this ... considering the SP history 1.27 doesn't seem like a price that management would be jumping up and down about (unless they think that their market is about to completely tank)

And this condition concerns me:
The SIA contains customary exclusivity arrangements including no-talk, no shop, notification and matching right obligations (subject to customary fiduciary carveouts) and break fee obligations on Industrea in certain circumstances

Sounds like IDL management have signed up to a deal that make it pretty tough to entertain other offers!?!?!?
