I'm not much of an expert but I think both cases are the same. If the entity that takes control gets to a certain percentage (90%) then I think they can compulsorily acquire all shares at whatever is the agreed takeover price. Below that you can choose whether to accept or not. If the company goes private though you will lose the liquidity of selling shares on the exchange.
