my guess, If FML continues to keep 13M as secured loan as against converting, they can walk away from the deal if needed, and demand immediate repayment and be able to get something of value due to loan's secured nature.
If they convert it, they risk showing thier cards early in the game and potentially be exploited by stone group as FML then, can't just walk away due to now having 13mn at stake.
