Yes, it's definitely double counting, otherwise the takeover laws would be enacted.
in the end, anyone can bid +25c whether they have a position or not. The Directors have noted the company is up for sale. If some energy company or pension fund bids 27c, Skip will need to match it or walk. They won't be able to vote no and expect their lower bid to get up.
So I still think there is a chance for a more pronounced bidding war.
