Reading further it appears that people who don't explicitly vote are counted as abstaining (and the chairperson's doesn't get to dictate how they vote). Apparently a 62% turnout is average.
Also the vote of the Oracle's pre-bid shares isn't counted (technically I think they are put in a different "class" because they are the purchasing party).
