Old mate is using old tactics to buy a company’s assets cheap. You get to a 50/50 ownership then behave is a way that frustrates the other owner so much they are prepared to sell out cheaply just to be rid of you (OR have the other partner buy you out for a premium for the same reason). Its’ a win/win for him. However, usually experienced boards understand these tactics and never enter deals structure to allow this weighting’s to occur, or fight for all shareholders like Mitchells and Butlers in the UK did.
