I think its a bit unfair to say "is it even real" - there is a signed exclusivity agreement. Morrison are serious/real about taking a look.
Does it mean it will happen - not necessarily.
My FV is $4 with takover premium 10-15%. So $4.50 is fair to me - considering other circumstances/factors.
if a firm comes for $4.50-$5.00 - i'll be happy to take that.
