Although the directors have some say in what transpires, it is not up to them to decide whether a takeover is accepted or not, even if they have bought shares at a higher price etc. As well as DD being done there is an independant evaluation & report given (recommend or not) to allow all share holders to decide whether to accept offer or not. Directors have only stated they approve of private equity group to pursue their offer, and after AGM it appears many issues have been addressed, and the co is expecting a turnaround even if the offer is declined by share holders.
