Falling or further falling share prices can be an indication that a takeover is being prepared. My last "witnessed" takeover had the following text as justification for the determination of an ( allegedly "fair" ) takeover price:
"...representing a 36-per-cent premium for ... shareholders based on the 20-day volume-weighted average and a 26-per-cent premium based on the closing price on Feb. 24, 2023"
Note: For about twenty days prior to the announcement of the acquisition, the share price moved 20-30% below the average prices of the weeks before.
