“I am wondering whether anyone can refer an issue to the Takeovers Panel where it is believed that one group may have knowledge (and particularly inside information if that group sits on both boards, FMS and BBIG, and works for TIO or PIO) whilst the other shareholders in the company (FMS) do not have that information. This would allow the first group to increase their % of a company and could aid them in a takeover of that company without paying a premium.
Are there any costs in making this referral to the Takeovers Panel and is it a simple process?”
That’s a great post SK. I think it is relatively easy to refer this sort of thing to the Takeovers Panel and I believe the cost is around $2,000. I’m sure that Jake and possibly pe981 will be able to provide more info on this and look forward to their responses. One thing that stands out to me is the fact that OCJ and a large number of minority shareholders didn’t take part in the last Rights Issue. I wonder if that was because they were not fully aware of the same information that our majority shareholder (TIO/Todd) had? Makes you wonder, doesn’t it ? So, now we appear to be at the pointy end of FMS and BBIG having to finalise a deal (if the award date of June 2018 for contracts on the ICN Gateway is to be met)? What else is in the wind to cause a hold up in the CR (“we’ve just become aware”, lol) for repayment of the loan? I wouldn’t be surprised to see that there is a lot more to play out. Will this include Shandong Steel buying into BBIG and/or FMS? Will it be 49%, 33% or a 25% stake? They won’t be able to hide that, will they? Now, we know that many interested parties read these HC threads including many of the largest shareholders in FMS. I have no doubt that those parties are taking note of these posts .
It is great to know that us minority holders together with OCJ potentially have a blocking vote if needed. OCJ appear to me to be in a great position and I would think that our board should be sucking up to them big time. Meanwhile we’ll wait an see what announcements come forth.
