IMO the Delaware takeover laws (or should I say non-
takeover laws) are a disgrace.

It's the reason Rupert moved Newscorp's domicile there,
so he could control the company without having to
own a majority of the voting stock.

If shareholders feel that a takeover is in their best interests they should be able to approve it even if the
board are against it.
