Gabbie, they can do it without board approval. Its pretty basic. You get a large enough group of shareholders to initiate a proxy fight, kick the board out and then put in your own people. The Delaware laws were designed to prevent Greenmail, which is a process that would allow a shareholder to basically take a big stake in a company and threaten management with eviction if they didn't pay him off. You fix one problem you cause another.
