Reading between the lines, Resolution 1 is just so they can raise more capital if they desire. They give no justification as to why the need it other then to "remain flexible". The only legitimate reason I can think of is if they wanted to get started with exploratory drilling at North SHIP ASAP and are unable to use the money from funding of South SHIP towards it.
Resolution 2 is to allow them to issue an investor shares up to 3 months after the meeting.
