    14.1.7 All Assignees shall make a written commitment to comply with the provisions of this Agreement to which he will become a Party. 14.2 Notwithstanding the provisions of Article 14.1 above, a Party shall have the right to assign or freely transfer all or part of its Percentage of Participation in an Affiliated Company, without having to obtain the consent of the other Parties, under the following conditions: (a) Each Party shall at any time have the right to freely transfer or transfer all or part of Percentage of Participation in an Affiliated Company, provided that the Transferring Party remains liable for the performance by the Assignee of the obligations arising fromthis Agreement, as if the assignment or transfer had not occurred during a period three (3) years from the date of transfer or transfer. (b) If, before the expiry of the three (3) year period referred to in Article 14.2 (a) above,date of transfer or transfer. (b) If, before the expiry of the three (3) year period referred to in Article 14.2 (a) above, the Assignee ceases to be an Affiliated Company of the Selling Party, the transfer will be automatically canceled and the Percentage of Participation will be returned to the Party performed the transfer. During the three (3) year warranty period mentioned in Article 14.2 (a) above, the Transferring Party remains the guarantor, vis-à-vis the other Parties, of the good execution by his or her Assignees of the obligations arising for the said Assignees of the provisions of this Agreement. 14.3 All registration fees, fees and taxes relating to the transfer or transfer of a Percentage of Participation will be: (a) in the case of an assignment or transfer between the Parties, the exclusive obligation Transferee; (b) in the case of an assignment or transfer to a third party, the exclusive obligation of the transferring Party, unless the Transferring Party and the Assignee decide otherwise. 14.4 Where necessary, the Parties will sign and provide all documents and will undertake together all the formalities and actions necessary to obtain authorizations to carry out any assignments and transfers provided for in this Agreement. 14.5 No transfer or transfer shall release the Transferring Party from obligations arising under this Agreement and the Contract, and incurred before the effective date of such assignment or transfer, and the Assignee will be liable for the obligations of the Transferring Party after that date. 14.6 Any assignment or transfer shall not become effective between the Parties until the first day the month following the date of receipt by the other Parties of the deed of assignment or transfer, as well as the receipt of Ministerial approval, provided that all conditions of the present Article 14 have been fulfilled. 14.7 Any Party that disposes of its entire Percentage of Participation will remain bound by the obligation of secrecy mentioned in Article 15 below.
