AAM DECIDES TO EXTEND SUBSCRIPTION PERIOD UNTIL JANUARY 10, 2020- Advertisement -Altech Advanced Materials AG (AAM) (FRA: AMA1) decided on December 10, 2019 to extend thesubscription period for the current rights issue until January 10, 2020 (24:00 CET). The prospectus approved by the German Federal Financial Supervisory Authority ("BaFin"), the approved Supplement.
No. 1 to the Prospectus and the amended subscription form can be downloaded from the Company's website (www.altechadvancedmaterials.com).The extension of the subscription period for shareholders was resolved against the following background:1) As already announced to the capital market on December 5, 2019, the Company has convened an Extraordinary General Meeting for January 15, 2020 at which, amongst other, the extension of the deadline for implementing the capital increase resolution of July 17, 2019 by three months until April 16,2020 is to be resolved, as otherwise this deadline would expire on January 16, 2020.Together with the Supervisory Board, the Executive Board had decided to extend the capital increase resolution in order to allow sufficient time for a structured private placement in the wake of the ongoing capital increase with subscription rights. The approval of the securities prospectus by the BaFin took much longer than originally expected. As a result, only a few days would remain between the end of the subscription period of the current rights issue and the Christmas holidays, which the management expected would not be sufficient to carry out a structured private placement.Due to the fact that the current capital increase resolution of July 17, 2019 does not provide for an entry oft he capital increase in tranches, the current capital increase with subscription rights cannot be entered in the commercial register before the end of the Extraordinary General Meeting on 15 January 2020, as otherwise a resolution re extension of the deadline for implementing the capital increase would no longer be possible. Accordingly, a delivery of New Shares from this currently ongoing rights issue cannot be made beforehand either.2) In addition, the Company was informed by some shareholders that their custodian banks had only informed them of the ongoing rights issue with a considerable delay and that they therefore had hardly any time left to participate in the capital increase with subscription rights within the originally planned subscription period until December 16, 2019.Due to the circumstances described above, the New Shares can only be delivered to the shareholders after the capital increase has been entered in the commercial register, which in turn can only take place after the Extraordinary General Meeting on January 15, 2020, and in order to enable shareholders willing to subscribe, who may have been informed late by their custodian banks of the current rights issue, to participate in the rights issue, the management has decided to extend the subscription period until January10, 2020 (24:00 hours CET). A corresponding amendment to the subscription offer will be published on Monday, December 16, 2020 in the Federal Gazette (Bundesanzeiger). Updated subscription form will be available for download on the homepage on December 16, 2020.For information for shareholders who have already subscribed:You do not have to do anything else. Your subscription is still valid. However, due to the change in the subscription offer, you now have the right to cancel your subscription by informing the Company within two days if you no longer wish to participate in the rights issue due to the changes in the subscription offer. In this case, the amount paid to the Company will be returned to you immediately.
