Can TGZ adjourn it AGM without firt obtaining all its shareholder approval?
To do so would appear to be an oppression of existing shareholders, even under the Canadian Business Corporations Law, and especially so where new shares would be issued which may swing the voting balance against the new persons nominated for the directorship positions.
There is no procedural fairness to the exisiting shareholders, and those shareholders may well be severly prejudiced by the adjournment move.

An injunction against the adjournment should be sought and obtained in the relevant Toronto Court; irrespective of what the ASX and The Canadian Exchange rules about the matter say.
