What is pedantic about $100 million plus worth of stock that could be the difference between getting clear control and/or being a large minority without control on a register?

if another gold company is coming for OBM, they need a minimum 42% shareholding upfront and would then be hopping for 90% plus after formal bid.

And they would pay a nice premium for the certainty of 42% plus
