I take it as 3 EL's for $400k and the escrowed shares and additional payments only after the minimum commercial quantity is confirmed. 2 ML's containing an active mine site with processing plant.

I think the keyword here is "minimum" commercial quantity and past production through alluvials has been significant.

Total payment (including initial $400k) $2.4m over 30-36 months should the minimum commercial quantity be found.
