The action would be against the directors but, if they are guilty of something actionable (which is not known at this stage), it would be necessary to put together very strong circumstantial evidence and/or uncover damaging communications between them and the would be purchaser by legal process in the course of the litigation, and these might not exist or might be destroyed and no one may be prepared to admit their existence, so action would be speculative but not necessarily hopeless.
