The CR happened before the bonus was voted on, everyone including 1st Sam is here to make $$$, they would have known the effect the bonus would have on sentiment and SP, they didn't have to honour a handshake agreement even if there was one.

Regardless, between Cedric and 1st Sam they own less than 20% of this company, to you and I the bonus was a no-brainer to vote 'no', but who else that doesn't benefit one iota would vote 'yes'? ... And why?

Remember, Cedric didn't gift himself the bonus, the majority of your fellow shareholders did.
