It gets confusing when you have to appoint the Chairman as your proxy, when he has already stated that he will be voting his shareholding in favour of the motion. Despite this, he is obliged to vote all proxy votes he receives according to the instructions of those shareholders. In your case you have instructed him to vote your holding against the motion, and this he MUST do. He only has discretion when he receives notification appointing him as proxy, when no instructions as to how to vote have been given. In that case he can use those votes in favour of the motion. So please shareholders make sure you instruct the Chairman which way you wish him to cast your votes.
