Unfortunately not really ... shareholders can vote against remuneration plans but they are non-binding ... so the company may take some notice but essentially ignore them ... and most institutional investors just fall into line anyway ... you know the old school tie kind of thing! To sort this out shareholder votes on remuneration should become binding AND if a company underperforms the relative index NO bonuses should be paid!
