goodaye Acorn, one of the reasons predators now go for a t/o by way of a Scheme of Arrangement, is that, in order to be certain that they will obtain 100% of the coys shares, the predator only needs to get 50% of s/h by number to vote yes, plus they only need to get 75% of the shares to vote yes. Then the Scheme gets approved by COurt, and Predator can compulsorily acquire 100% of shares. Importantly those numberts relate to those s/h who actually vote.
if t/o is made under Corp law, part (?), the predator needs to acquire 90% of all shares in order to compulsorily acquire any outstanding shares.
