With the recent positive announcement from TTY, where does this leave the true value of the company?

Could you please help me understand something ?
Why do you consider Gilbos offer superior?
The offer from TTY has been out for a week or so now giving the market plenty of time to value it. The market has priced TTY at $1.14 at the moment. Therefore isnt the TTY offer worth $3.71 ($2 plus $1.14 + 57cents).
What I don't understand is why it is not trading around this price at the moment.
I probably have oversimplified it here and have missed alot but am I on the right track?
Has it got to do with the difference in debt levels ect?
