ENTITLEMENT TO VOTE


The time for determining eligibility to vote at the Scheme Meeting is 7.00pm (AEST) on 2 June 2017. Only those Central

Shareholders (other than the Excluded Shareholders) entered on the Central Share Register at that time will be entitled to attend

and vote at the meeting, either in person, by proxy or attorney, or in the case of a corporate Central Shareholder, by a body

corporate representative. The remaining comments in these explanatory notes are addressed to Central Shareholders entitled

to attend and vote at the meeting. An Excluded Shareholder (as defined in the Scheme Booklet and also described in section 6

below) is not entitled to vote at the Scheme Meeting.
