Agreed, a Death Spiral, the writing was on the wall, another good lesson.
If a management team accepts these terms then they are not thinking about the shareholders, or their eyes were heavily glazed over due to their complexity, or they thought they were going to win big time knowing the sp would drop below 2c. I don't think the holders of these instruments will do that well, the other shareholders certainly wont.
Those companies that manage to keep their capital structures clean, they are the ones that are worth looking at.
