I would also view the 1,850,000 shares issued at 0.60c with no escrow as a Red Flag? Please keep in mind that I believe this is additional to the 3,000,000 shares at 0.60c shares for the purchase of the app.


In Annexure 2, where it states that there were 1,850,000 at an issue price of 0.60c for "services" to Thirty Three Affiliated Holdings LLC.

Thirty-Three Affiliated Holdings is associated with Tipsly Co-Founder and CEO Ryan O'Rear who will remain with BIG to help run the US hospitality vertical.
