b. Significant RestrictionsOther than the following, there are no significant restrictions over the Group’s ability to accessor use assets, and settle liabilities, of the Group:LangTech International Pty Ltd has entered into a working capital and term loan facility withGreensill Capital UK Limited (Greensill) as described in Note 17. The Facility was drawn downas to $7.6m as at the date of this report. The facility is secured by all of the Group’s current andfuture assets via a security interest over personal property and via fixed and floating charge overall other property (including trade receivables, cash and cash equivalents). The facility containsdetailed conditions precedent to draw down. The facility is financial covenant lite in that once thefunds have been drawn under the facility, there is no periodic (eg quarterly) financial covenanttesting. Covenants imposed by Greensill restrict asset disposals (other than with Greensill’sconsent, or in the ordinary course of business, or in other limited circumstances), acquisitions(other than with Greensill’s consent or in other limited circumstances) and dividend payments(other than with Greensill’s consent or in other limited circumstances).
