Ausheds, not withstanding the valid points youv'e raised,IMHO,voting for the demerger ,is in the best interests of both the for and against camps involved in this " deal".
Currently SER,does not have the money to do anything with Uley, nor the intellectual where with all to do anything other than sell graphite as a bulk commodity, hardly maximising SHrs returns ,in my eyes anyway.

Should the mega deal fail,Uley via Tarcoola "could" IPO in its own right,(this is SERrs managements "fallback position")without SERs perihperal assets inhibiting or detracting from " a clean energy & much more play" that we all acknowledge graphite potentialy has to offer.

Yes theres much to speculate on whether or not mega can manup with the cash,I suggest some of this speculation could have being avoided with better negotiations at the time of the term sheet, such as more transparency in terms of megas financial backing.

What does, well sponsored by leading global institutions mean?( from SERs AGM presentation)

Perhaps SERs management is privy to such information,if so confidentialty clauses should have being voided,so as retail SHrs could have access to this information(should it exist).

Its worth noting at this time, weve had drill cores from Myall Creek at the assays for over four months, wheres the results?

Our thin management team have being spread even more thinly, while a key asset,Uley is not SERs core business IMHO.
With a bulk commodity, you can contract almost all aspects of mining, from drilling through to production, same for oil & gas,IMHO Uley is almost a tech stock maximising SHr returns through intellectual property in "small" but key consumer/OEM markets.

The cells used in a Roadster battery pack are referred to as "18650 form-factor" because of their measurements: 18mm in diameter by 65mm length. This form factor is a commodity in the consumer electronics market - over a billion 18650 cells are produced each year. Tesla uses versions of this form factor modified for use in EVs.

In order to assure the highest reliability and safety in the battery pack, Tesla only uses cells from the top worldwide producers. These companies not only have the most experience in making cells but have also been instrumental in providing guidance in designing a safe and reliable pack. Although Tesla does not identify which cells are used in which vehicles (similar to laptop companies), some of Tesla's battery supplier relationships have been publicized.
