The AICD’s broad argument is that the rules as they stand discourage people
who would be good directors from taking on the job, and discourages existing directors
from taking decisions that would be good for their company, and ultimately, good for the country.
AICD says its surveys consistently show that directors feel that their ability to make the best decisions
is compromised by concern that they will be held personally liable if things go wrong.
The other side of the coin, of course, is that changes to the law that gave carte blanche,
or something approaching it, to directors and executive directors as far as their directorial duties
were concerned would be a very bad idea indeed.
