To disclose or not disclose

I recall, back in the day, when the CEO would ask me whether we should announce of not....

It reminds me of the dilemma;

Do we announce because under the ASX listing rules we should ( because it is material)... Or do we not announce because we are also under corporate law; the confidentiality clause.

So which governs?

I always took the listing laws as gospel and despite clients/customers/partners not wanting to be named I sighted listing laws as being more relevant (to me), than some of the B2B contractual agreements.

So this is where I am confused here.... DCC sign an agreement which is material to us shareholders and yet they can get away with it being unnamed? Hmmmm. I dont care if it affects other deals, it's a material change in" our" business.

Yet again, I'm confused by this interpretation of listing rules. Would LOVE a legal oriented observer the help me understand this here..,,. Please?!!!
